Shebercraft Terms of Service & Commercial Master Terms
These Terms of Service («Terms») govern software engineering, autonomous AI agent development, systems integration, and technical advisory services delivered by Shebercraft Engineering («Shebercraft») to commercial clients («Client»).
1. Engagement Structure & Statements of Work (SOW)
Each engineering engagement is formally established through an agreed Statement of Work (SOW) or written project commitment defining:
- Sprint deliverables and architectural acceptance criteria.
- Timeline budgets (typically 7–14 calendar day rapid engineering cycles).
- Fixed pricing denominated in United States Dollars (USD).
- Infrastructure ownership and hosting environments.
2. 100% Intellectual Property (IP) Assignment
Third-party libraries, foundational LLM models, and open-source packages (e.g. Next.js, FastAPI, LangChain) remain governed by their respective permissive licenses (MIT, Apache 2.0).
3. Milestone Deliveries & User Acceptance Testing (UAT)
We work in rapid, transparent milestone sprints:
- Continuous Demonstration: Staging environments and automated test suites are accessible to the Client throughout development.
- Acceptance Window: The Client has seven (7) business days following sprint delivery to test and submit any defect reports against the approved SOW specifications.
- Warranty Period: Shebercraft provides a thirty (30) day post-launch warranty covering bug fixes and non-conformities at zero additional cost.
4. Synchronous US Support Overlap & Service Levels (SLA)
To ensure seamless global collaboration, Shebercraft guarantees active operational overlap with US Eastern (EST/EDT) and US Pacific (PST/PDT) business hours. Under active SLA agreements:
- Critical Severity (Production Down): Initial response within two (2) hours; continuous engineering until resolution.
- Standard Inquiries: Response within four (4) business hours during standard operational windows.
- Cloud Architecture: Uptime targets of 99.9% across client-deployed containers and web microservices.
5. Confidentiality & Non-Disclosure (NDA)
Prior to technical discovery, Shebercraft signs bilateral Enterprise NDAs. Both parties agree to protect all business strategies, client lists, internal training data, and proprietary code bases. This confidentiality obligation remains in force for three (3) years post-termination.
6. Payment Terms & Invoicing
International invoices are denominated in USD. Payments are accepted via international SWIFT bank wire or authorized corporate credit card. Standard payment structure: 50% upon contract execution and sprint initiation; 25% upon beta delivery; 25% upon final deployment sign-off.
